Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you (and, if you act for an organization, that organization) and Askery, Inc. ("Askery", "we", "us") governing your access to and use of the Askery website and form-building service (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If a separately negotiated and signed agreement exists between you and Askery, Inc., that agreement controls to the extent it conflicts with this page. We will update this page as the product and applicable law evolve; material changes are described in the "Changes to this policy" section below.

Eligibility and accounts

You must be at least 16 years old (or older where your jurisdiction requires) and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for all activity under your account, and for keeping your credentials secure. If you create an account on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization. Notify us promptly at support@askery.app of any unauthorized use or suspected security incident affecting your account.

The Service and changes to it

Askery lets you build, publish and collect responses to forms and surveys, with features such as conditional logic, versioning, analytics and AI-assisted authoring. We may add, modify, or discontinue features over time to improve the Service or for legal, security or operational reasons. We will not make changes that materially degrade a paid plan's core functionality during a paid term without offering a reasonable remedy where required by law.

Acceptable use

You agree not to, and not to permit others to: use the Service to collect data unlawfully or without a required legal basis or consent; send spam or unsolicited messages, or use forms for phishing, fraud or deceptive collection; upload or collect malware or unlawful, infringing, or harmful content; harass, defraud, or harm others; attempt to breach tenant isolation, access another workspace's data, probe or circumvent security controls, or perform unauthorized penetration testing; scrape, overload, or interfere with the Service or its infrastructure; resell or provide the Service to third parties except as expressly permitted; or use the Service in violation of export, sanctions, privacy or other applicable laws. We may suspend or limit access to protect the Service, our users, or third parties, or to comply with law.

Your content and your responsibility for collected data

"Customer Content" means your form definitions, settings, and the responses you collect ("Response Data"). As between you and us, you own your Customer Content. You are solely responsible for your forms and for the data you choose to collect, including ensuring you have a valid legal basis and any required notices or consents from your respondents, that your collection is lawful in every jurisdiction you operate in, that you honor your respondents' privacy rights, and that your forms do not request data you are not permitted to collect. You act as the data controller for Response Data; we act as your processor under the Data Processing Addendum. You will not collect special-category or highly sensitive data unless you have implemented the additional safeguards the law requires.

License and ownership of the platform

We and our licensors own all rights in the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, solely as permitted by these Terms. You grant us a limited license to host, process, transmit, display and back up Customer Content only as necessary to provide and support the Service, to secure it, and to comply with law. We may use aggregated or de-identified data that does not identify you or any respondent to operate and improve the Service. Feedback you provide may be used by us without obligation to you.

Plans, billing, taxes and cancellation

Paid plans are billed in advance on a recurring basis (monthly or annually as selected) through our payment processor. Fees are exclusive of taxes, which you are responsible for unless we are legally required to collect them. Unless required by law or stated otherwise at purchase, payments are non-refundable and there are no refunds or credits for partial periods. Subscriptions renew automatically until cancelled; you may cancel at any time and your plan will remain active until the end of the current paid period, after which it will not renew. We may change pricing prospectively with reasonable advance notice effective on your next renewal. Failure to pay may result in downgrade or suspension after notice.

Availability and support

We work to keep the Service reliable but do not guarantee uninterrupted or error-free operation. Maintenance, updates, third-party outages, or events beyond our reasonable control may cause downtime. Any uptime or support commitments apply only if expressly stated in a separate written agreement or order; otherwise support is provided on a commercially reasonable, best-effort basis via support@askery.app.

Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that any defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or relating to the Service or these Terms, even if advised of the possibility. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amounts you paid to us for the Service in the twelve months immediately preceding the event giving rise to the claim (or USD 100 if you have paid nothing). These limitations form an essential basis of the bargain and apply regardless of the theory of liability; some jurisdictions do not allow certain limitations, so they apply to the fullest extent permitted.

Indemnification

You will defend, indemnify and hold harmless Askery, Inc. and its officers, employees and agents from and against third-party claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your forms, the data you collect, your use of the Service, or your breach of these Terms or applicable law. We will indemnify you against third-party claims that the Service's core technology, as provided by us and used in accordance with these Terms, infringes that third party's intellectual-property rights, subject to customary conditions, exclusions and remedies.

Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or others, with notice where practicable and an opportunity to cure where appropriate. Upon termination your right to use the Service ends; you should export your data beforehand, and we will make Customer Content available for export for a limited period and then delete it as described in our Privacy Policy and Data Processing Addendum, subject to legal retention requirements. Sections that by their nature should survive (ownership, disclaimers, liability limits, indemnity, governing law) survive termination.

Governing law and disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the competent courts at Amravati, Maharashtra, India (the registered office of Askery, Inc.). Nothing in these Terms limits mandatory consumer-protection rights you may have under the law of your country of residence. Before filing a formal dispute, the parties will attempt in good faith to resolve it by contacting support@askery.app.

Changes to these Terms

We may update these Terms to reflect changes to the Service or for legal, security or operational reasons. We will update the "Last updated" date and, for material changes, provide reasonable notice (for example, by email or an in-product notice) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms; if you do not agree, you should stop using the Service and may cancel as described above.
